          SYSTEM REQUIREMENTS

1 Microsoft Windows 3.1 (or higher), Windows for Workgroups
3.11, Windows NT 3.5, or Windows 95. For optimal performance,
            Windows 95 is highly recommended.

2 Personal Computer using 80486 or higher microprocessor

3 16 MB of memory (Biologic WorkGroup will run with as little as

          INSTALLATION/SHAREWARE VERSION

          Installing The Shareware Version

If you obtained Biologic WorkGroup/Shareware Version from an
online service or from a shareware disk vendor, it probably has
been distributed as a single ZIP file (a ZIP file is a collection
of files combined as one file and compressed to save space). If
you obtained a set of disks from Biologic Development Group, the
files on the disks have not been combined into a ZIP file.

                                                                          6

Before continuing, you should have successfully unzipped the
Biologic WorkGroup files into an empty directory on your hard
disk, or you should have a set of disks distributed by Biologic
          Development Group.

Installation Notes For Windows 95 and Windows NT

If you are using Windows 95 or Windows NT, the installation
procedure copies files only to the directory you specify during
the installation process. It does not copy any files to the
Windows directory, or any other directory. Installing Biologic
WorkGroup does not alter your network configuration or Windows
          installation in any way.

Installation Notes For Windows 3.1 or Windows for Workgroups

Since Biologic WorkGroup is a 32-bit application, it requires a
set of system files, called Win32s, to run properly in the 16-bit
environment hosted by Windows 3.1 or Windows for Workgroups. When
installed, the Win32s files are stored in the directory
\windows\system\win32s. If you have already installed a 32-bit
application, then Win32s already exists in this directory; if you
have not, then the Biologic WorkGroup installation process will
          install these files for you.

Each PC must have access to the set of Win32s files. If you are
using shared Windows, then the installation of Biologic WorkGroup
will install the necessary files in the correct location. If you
are not using shared Windows, you must install Biologic WorkGroup
on each PC so that the Windows system files are updated to
          include Win32s.

          Follow these steps:

1 The first time Biologic WorkGroup is installed, install it in
the desired directory location on your network server.

2 For all subsequest installations, executed from each PC
(including users who are set up at a later date), install it
in a temporary directory that you can later delete. In this
way, the Windows configuration on each PC will be updated.

          Note

You must have at least a 10 MB swap file (virtual memory) when
using Win32s. If Biologic WorkGroup displays an error message

                                                                          7

saying that your virtual memory setup is not correct, then check
to ensure that you have at least 10 MB of virtual memory.

          The Setup Program

You install Biologic WorkGroup or Biologic WorkGroup/Shareware
Version by using the setup.exe and setup.bat programs. You can
install Biologic WorkGroup from floppy disks directly or from a
directory on your computer's hard disk.

If you are installing Biologic WorkGroup as a standalone program
to be used only by you, you should install it on your hard disk.
If Biologic WorkGroup will be used by more than one user, you
should install it on your network server in a directory location
that can be accessed by all users.

               setup.exe. For example, type a:setup.exe.

If you are installing from a hard disk, type the path for
the setup.exe program, and the word setup.exe. For example,
               type c:\temp\setup.exe.

6 Choose the OK button, and then follow the instructions on the

          THE SHAREWARE CONCEPT

          What Is Shareware?

Shareware is copyrighted software which is distributed by authors
through bulletin boards, on-line services, disk vendors, and by
copies being passed among friends. It is commercial software that
you are allowed to try before you pay for it. This makes
shareware the ultimate in money back guarantees_if you don't like
the product, you don't pay for it.

Shareware is a distribution method, not a type of software. There
is good and bad shareware, just as there is good and bad retail
software. The primary difference between shareware and retail
software is that with shareware you know if it's good or bad
          before you pay for it.

You benefit because you get to use the software to determine
whether it meets your needs, before you pay for it. Developers
benefit because they are able to get their products into your
hands without the expenses it takes to launch a traditional
          retail software product.

The shareware system and the continued availability of quality
shareware products depend on your willingness to register and pay
for the shareware you use. It is the registration fees you pay
which allow us to support and continue to develop our products.
Please show your support for shareware by registering those
programs you actually use and by passing them on to others.
Shareware is kept alive by your support.

          Note

If the title bar does not say _Biologic WorkGroup/Shareware
Version_ then you are using the retail version. The retail
version is not freeware or shareware.

          Limitations Of The Shareware Version

The shareware version of Biologic WorkGroup has no feature
limitations; the shareware version and the retail version are the
same product. The only limitation is that the shareware version
supports five users only. If your workgroup has five or less
users, you may use the shareware version indefinitely (but please
tell your friends and business associates about it!). If your
workgroup is larger than five users, or if you need technical
support, you can purchase the retail version of Biologic
WorkGroup which supports additional users and provides 90 days of
no-charge support. For information on ordering see the section
_Ordering Biologic WorkGroup_. Ordering the retail version also
provides other benefits. See the section _Benefits Of Ordering
          The Retail Version_.

Technical support cannot be provided to users of the shareware
version. If you need technical support, please consider ordering
the retail version of Biologic WorkGroup.

shareware-related problem with an ASP member by contacting the
member directly, ASP may be able to help. The ASP Ombudsman can

          EVALUATING BIOLOGIC WORKGROUP IS EASY

Although Biologic WorkGroup is a powerful application, evaluating
          it is easy:

                                                                         11

1 Installation is automatically accomplished using a setup
program. All Biologic WorkGroup files are copied to a single
directory. At the end of the evaluation period, Biologic
WorkGroup can be removed from your network with one command:
del *.*. BIOLOGIC WORKGROUP DOES NOT MODIFY YOUR NETWORK
            CONFIGURATION IN ANY WAY.

2 If you wish, Biologic WorkGroup can be evaluated by a single
            user on a standalone PC.

3 Administrative requirements simply involve setting up user
names and selecting a few administrator options.

4 Biologic WorkGroup can be tested by one user or a small number
of users within your workgroup. Additional users can be added
            with little effort.

5 Technical support is available by Phone, Fax, BBS, and
            CompuServe (for Evaluation Kit users).

6 No dedicated hardware or administrative resources are
            required.

7 Biologic WorkGroup can be set up on any existing file server
or peer-to-peer network, making it ideal for large companies
            and small offices.

                         below:

                         $25 per minor incident

                         $75 per major incident

Annual Support Support is provided for an
Contract annual fee. The fee amount
                         and the maximum number of
                         support incidents is
                         determined as follows:

                         Annual Fee = $50 x (Number
                         of licensed users)

                         Maximum Number of Incidents
                         = 3 x (Number of licensed
                         users)

                                                                         16

          What Is An Incident?

An incident is a single support issue and the reasonable effort
needed to resolve it. An incident may require multiple telephone
calls, exchanging of faxes or E-mail messages, and offline
research. An incident is considered to be minor if the time
required to resolve it_either on the phone or offline_is less
then 15 minutes. A product bug is not considered to be a fee-
          based incident.

          INDEPENDENT MARKETERS PROGRAM

What Is The Independent Marketers Program?

We have created the Independent Marketers Program to quickly
build a team of people to help us market our software.

Independent Marketers are not just salespeople, they are
evangelists who help us increase market awareness for our
product. Independent Marketers receive compensation based on
product sales, and on their success at the distribution and
marketing of our software as well. As an independent sales team,
Independent Marketers are free to market our product in whatever
manner they choose, and devote as much or as little time at that
          activity as they wish.

The incentive plan, detailed in the next section, provides for a
sales commission to be paid to an Independent Marketer for each
sale made, AND, for all sales derived from software originally
distributed by them. This is not a pyramid scheme. We need help
selling our product. And we're willing to pay for it. We expect
that some of our Independent Marketers will receive significant
          compensation.

If you are interested in joining the Independent Marketers
Program, call us for more information.

          Details

1 Each Independent Marketer receives a copy of Biologic
WorkGroup/Shareware Version which has been branded with the
Independent Marketer's unique identification number. This
identification number will be displayed within the program,
and can be included in any sales literature, etc.

2 The Independent Marketer can distribute and promote the
product in any way he or she chooses.

3 When a customer orders Biologic WorkGroup directly from us,
the customer will be asked for the identification number which

                                                                         19

uniquely identifies the Independent Marketer who originally
            distributed the software.

4 Independent Marketers will be paid a commission based on a
percentage of all sales in which a customer has presented us
            an identification number.
